"Software" refers to the compiled binary files (.a static library and .h header) generated by the Luviner platform. "Licensor" refers to Luviner. "Licensee" refers to the individual or entity that downloaded the Software through the Luviner platform. "Authorized Devices" refers to the hardware devices whose Unique IDs (UIDs) were registered at the time of compilation.
Subject to the terms of this Agreement, Luviner grants the Licensee a non-exclusive, non-transferable, perpetual license to use the Software exclusively on the Authorized Devices registered at the time of compilation. The Software is licensed, not sold. This license does not include the right to sublicense, distribute, or make the Software available to third parties.
The Software is compiled with hardware UID verification embedded in the binary. It will only execute on devices whose UIDs were registered and authorized at the time of compilation. The Licensee acknowledges that the Software will not function on devices whose UIDs were not included in the compilation. To deploy on additional devices, the Licensee must register the new UIDs through the Luviner platform and pay the applicable per-device licensing fee.

The Software, including all algorithms, neural network architectures, training methods, code generation techniques, and compiled outputs, remains the exclusive intellectual property of Luviner. The Licensee acquires only the right to use the Software as described in this Agreement. The Licensee retains ownership of their original sensor data and the trained model parameters derived from it.
Luviner reserves the right to verify compliance with this Agreement. Upon reasonable notice, the Licensor may request evidence that the Software is being used only on Authorized Devices. The Licensee agrees to cooperate with such verification requests within 30 days.
Each compiled binary contains a unique digital watermark linked to the Licensee's account. This watermark enables traceability of the binary and is used for intellectual property protection. Attempting to remove or alter the watermark constitutes a material breach of this Agreement.
The Software is provided "as is" without warranty of any kind. Luviner does not warrant that the Software will meet the Licensee's specific requirements, achieve any particular accuracy on the Licensee's data, or operate without interruption or error. The Licensee is solely responsible for testing and validating the Software before deployment, particularly in safety-critical applications (medical devices, automotive, industrial controls).
To the maximum extent permitted by applicable law, Luviner shall not be liable for any damages arising from the use or inability to use the Software, including but not limited to direct, indirect, incidental, special, or consequential damages. This limitation applies regardless of the legal theory on which the claim is based.
This license is effective until terminated. Luviner may terminate this license if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must cease all use of the Software. Binaries already deployed on Authorized Devices may continue to operate, but the Licensee loses the right to compile, download, or deploy new binaries.
This Agreement is governed by the laws of the Italian Republic. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Italy.
